Terms and Conditions for Azper Evaluation Program
1. Introduction

By participating in the Azper Evaluation Program ("Program") offered by Azper Science, you ("Participant," "You," "Your") agree to comply with and be bound by the following Terms and Conditions. Please read these terms carefully before applying for the Program. If you do not agree to these terms, you may not participate in the Program.

For the purpose of this agreement “Product” refers to any unit provided under this Program, including but not limited to:

ZNav GNSS Receiver
-
Power Management Systems
-
Associated modules, accessories, and components
-
Or any units provided by Azper Science
“Evaluation Kit” refers to the complete set of Products provided to the Participant for evaluation.
All references to “Product” in this agreement shall apply individually and collectively to all items within the Evaluation Kit.

2. Evaluation Kit Details

At the time of dispatch, Azper Science will communicate:

Quantity of each item
The Participant agrees to verify the contents upon receipt and notify any discrepancies within 24 hours of the delivery receipt.

3. Participation in the Evaluation Program
​

Eligibility: The Program is open to individuals or organizations who are at least 18 years old and have the appropriate environment and equipment for testing the Evaluation Kit.

Duration: The evaluation period shall be fourteen (14) business days commencing from the date of delivery. Any extension request must be submitted in writing to Azper Science and is subject to prior approval. Extensions not approved in advance may result in additional charges.

Product Ownership: During the Program, all Products remain the property of Azper Science. The Participant is only granted the temporary right to use the product for the duration of the Program.

4. Conversion Opportunity
Participants who successfully complete the evaluation may, at the sole discretion of Azper Science, be eligible for:

The terms and availability of such benefits shall be determined and communicated separately by Azper Science.

5. Requirements
​

Product Use: The Participant shall use the Evaluation Kit in accordance with the provided documentation and guidelines. The Product shall be used solely for evaluation and feedback purposes. Commercial deployment is prohibited without prior written approval from Azper Science. The Participant shall not engage in any unlawful or non-compliant activity, nor subject the Product to any form of testing, analysis, or use beyond its intended evaluation purpose that may adversely affect its performance, integrity, control systems, or lifecycle, without prior written approval from Azper Science.

Compatibility: The Participant must have the necessary devices, hardware, and environment to test the Evaluation Kit. If the product requires other equipment or software for full functionality, the Participant is responsible for ensuring compatibility.

Setup and Installation: Participants shall follow the provided setup instructions and are responsible for ensuring the proper installation and operation of the Evaluation Kit. If assistance is required, Azper Science shall provide reasonable support during the Program via WhatsApp, email, or telephone. The typical response time shall be 24–48 business hours. While Azper Science provides integration guidance, the final responsibility for the safe configuration and flight of the UAV rests solely with the Participant.

6. Feedback and Reporting

Feedback Obligations: As part of the Program, the Participant agrees to provide timely feedback on the Product's performance, usability, and any issues encountered. Feedback can be submitted via email or through feedback forms as requested by Azper Science.

Data Collection: Azper Science may collect anonymized data from the Products during the Program, including performance metrics and flight logs, for product improvement purposes. No sensitive or proprietary operational data shall be used without the Participant’s explicit consent. Subject to prior approval, Azper Science may use evaluation results for case studies or marketing purposes.

7. Product Condition and Handling

Care of the Product: The Participant is responsible for taking reasonable care of the products in Evaluation Kit during the Program. Any damage to the product due to misuse or neglect will be the responsibility of the Participant.

Return of Product: The Participant shall return the Product on or before the last day of the evaluation period, in its original or equivalent packaging to ensure safe transit. Outbound shipping charges shall be borne by Azper Science. The Participant shall be responsible for arranging and paying for insured return shipping to Azper Science’s Bangalore office upon completion of the Program. Any damage incurred during transit due to improper packaging shall be borne by the Participant.

No Disassembly: The Participant shall not disassemble, modify, or otherwise tamper with the internal components of the Product or any part of the Evaluation Kit. Any such unauthorized actions shall result in immediate termination of the Program, and the Participant shall be liable for any damages, losses, or costs incurred by Azper Science, up to the full replacement value of the Product. Damage assessment shall be conducted solely by Azper Science. Payment shall be made within seven (7) days of notification.

For the purpose of this agreement, non-acceptable damage includes, but is not limited to:

Burnt components resulting from incorrect wiring or short-circuiting

Water or environmental damage
-
Physical tampering or forced disassembly
-
Damage to the Product resulting from crashes or improper operation

Azper Science reserves the right to determine the classification of damage based on its inspection. If any non-acceptable damage is identified during inspection, the Participant shall be liable for the associated repair or replacement costs.

8. Limitations of Liability
​

Product Performance: The Evaluation Kit is provided solely for evaluation purposes. Azper Science makes no representations or warranties regarding the Product’s performance, compatibility, or suitability for the Participant’s specific requirements.

No Warranty: The Evaluation Kit is provided on an “as-is” and “as-available” basis for the duration of the Program, without any warranties of any kind, whether express or implied, including but not limited to warranties of performance, merchantability, or fitness for a particular purpose.

Support Disclaimer: Any guidance, support, or recommendations provided by Azper Science are offered on a best-effort basis and shall not transfer responsibility for the safe operation to Azper Science.

Liability: To the maximum extent permitted by applicable law, Azper Science shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of, or inability to use, the Evaluation Kit, including but not limited to damage to equipment, personal injury, loss of data, or operational losses. In no event shall Azper Science’s total liability exceed the value of the Evaluation Kit.

9. Termination of Program
​
Azper Science reserves the right to terminate the Program at any time if the Participant breaches any of these Terms and Conditions. Upon termination, the Participant shall immediately cease all use of the Evaluation Kit and return all Products in accordance with this Agreement. Any continued use after termination shall constitute unauthorized use.

10. Confidentiality
The Participant shall keep confidential and shall not disclose, publish, or share with any third party any non-public information related to the Product or Evaluation Kit, including but not limited to:

Technical specifications
-
Performance characteristics
-
Documentation
-
Test results, logs, and evaluation data
-
Design, architecture, firmware, or software-related information
-
Any analyses, summaries, or derivatives of the foregoing
The Participant shall use such information solely for evaluation purposes and shall take reasonable measures to protect its confidentiality. This obligation shall survive the termination or completion of the evaluation.

11. Intellectual Property & Restrictions
​
The Participant shall not:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the design, structure, or underlying technology of the Product

Extract, copy, or attempt to access firmware, software, or system architecture, or attempt any form of replication
-
Use the Product to develop, test, validate, or benchmark any third-party or unapproved software, firmware, or control systems, without prior written consent from Azper Science
-
Share, publish, or disclose any internal performance data, test results, logs, or technical information related to the Product without prior written consent from Azper Science

All intellectual property rights, including but not limited to the Product, related software, firmware, and documentation, shall remain the sole and exclusive property of Azper Science and are protected by applicable intellectual property laws. The Participant does not acquire any ownership, license, or other rights to such intellectual property by virtue of participation in the Program.

12. Indemnity
​
The Participant agrees to indemnify and hold harmless Azper Science from any claims, damages, losses, or liabilities arising from the Participant’s misuse, negligent handling, or breach of this Agreement.
​
13. Governing Law and Dispute Resolution
​
These Terms and Conditions are governed by the laws of Karnataka, India, without regard to its conflict of law principles. Any disputes arising from these Terms and Conditions shall be resolved through binding arbitration in Bangalore, India, as per applicable law.

14. Modification of Terms
​
Azper Science reserves the right to modify or update these Terms and Conditions at any time
